Terms of Service

These Terms of Service (“Terms”) govern access to and use of Pipsqueak Network Scanner (“Pipsqueak,” “we,” “us,” or “our”), a hybrid on‑premises and cloud-based network scanning and reporting platform operated by Business Technology Solutions Group (BTSG).

By downloading, installing, accessing, or using Pipsqueak (the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

  • “Customer” means the entity or individual that has entered into these Terms. 

  • “MSP” means a Managed Service Provider using the Services on behalf of third-party clients. 

  • “Authorized User” means individuals authorized by the Customer to use the Services. 

  • “On-Prem Components” means scanner software executed within Customer-controlled environments. 

  • “Cloud Services” means hosted services provided by Pipsqueak, including licensing, reporting, updates, analytics, and account management. 

  • “Scan Data” means technical metadata, findings, and reports generated by the Services. 

2. Scope of Services 

Pipsqueak operates as a hybrid network scanning solution, consisting of: - Locally executed scanning software deployed within Customer-controlled environments; and - Optional cloud-based services used to enhance reporting, licensing, analytics, and management. 

Customers control where scanners are deployed and whether scan data is transmitted to Cloud Services. 

 

3. Eligibility and Authority 

You represent that: - You are at least 18 years old; and - You have the authority to bind the Customer to these Terms. 

If you use the Services on behalf of an organization or MSP client, you represent that you are authorized to do so. 

 

4. License Grant and Restrictions 

4.1 License Grant 

Subject to these Terms, applicable usage limits, and payment of all required fees, Pipsqueak grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the On-Prem Components and to access the Cloud Services solely for Customer’s internal business purposes or, in the case of MSPs, for authorized client environments. 

All rights not expressly granted are reserved by Pipsqueak and BTSG. 

4.2 Restrictions 

Customer shall not, and shall not permit any third party to: - Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying models - Bypass, disable, or circumvent licensing enforcement, telemetry, or technical safeguards - Use the Services for penetration testing, offensive security testing, or exploit development unless explicitly authorized in writing by the network owner - Use the Services in violation of applicable computer misuse, surveillance, or privacy laws - Remove or obscure proprietary notices or branding - Resell, rent, lease, or sublicense the Services except as expressly permitted for MSP use 

Any unauthorized use immediately terminates the license. 

 

5. MSP Use and Customer Responsibilities 

When used by an MSP: - The MSP is solely responsible for obtaining explicit, documented authorization from each client prior to scanning - The MSP represents and warrants that it has all legal rights to deploy the Services in each client environment - The MSP acts as the data controller for all scan data and reports - Pipsqueak and BTSG act solely as data processors, as described in the Data Processing Addendum 

Customer acknowledges and agrees that Pipsqueak: - Does not validate Customer authorization to scan any environment - Relies entirely on Customer representations regarding lawful use - Bears no responsibility for disputes between MSPs and their clients 

Customer is fully responsible for: - Deployment decisions, scanner placement, and configuration - Interpretation, use, and communication of scan results - Ensuring reports are not represented as guarantees, certifications, or compliance determinations 

 

6. Ownership and Data Rights 

6.1 Customer Data 

Customer retains all rights to Scan Data. Pipsqueak does not claim ownership of Customer Data. 

6.2 License to Process Data 

Customer grants Pipsqueak a limited right to process Scan Data solely to provide and improve the Services, in accordance with the Privacy Policy and DPA.

 

6.3 Product Improvement 

Pipsqueak may use aggregated and anonymized data to improve product performance and features. 

 

7. Fees, Subscriptions, and Payment 

Certain features require payment. Fees: - Are billed in advance unless otherwise stated - Are non-refundable except as required by law - May change with prior notice 

Failure to pay may result in suspension or termination of Services. 

 

8. Acceptable Use Policy 

Customer agrees not to use the Services to: - Scan networks without explicit authorization - Violate applicable laws or regulations - Introduce malware or harmful code - Interfere with system integrity or availability 

Pipsqueak reserves the right to suspend Services for violations. 

 

9. Security and Deployment Responsibility 

Customer acknowledges that: - On-Prem Components operate within environments controlled by Customer - Customer is responsible for securing its systems, networks, and credentials - Pipsqueak is not responsible for misconfigurations or insecure deployments 

 

10. Service Availability and Updates 

Cloud Services may be updated or modified from time to time. Pipsqueak does not guarantee uninterrupted availability and may perform maintenance. 

 

11. Disclaimer of Warranties 

THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPSQUEAK AND BTSG DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY OF RESULTS.

 

Pipsqueak does not warrant that: - The Services will identify all vulnerabilities, risks, or compliance gaps - Reports are complete, error-free, or suitable for regulatory, legal, or audit purposes - Use of the Services will prevent security incidents or business losses 

The Services provide informational and decision-support outputs only and are not a substitute for professional security assessments. 

 

12. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW: 

  • IN NO EVENT SHALL PIPSQUEAK OR BTSG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES 

  • PIPSQUEAK’S AND BTSG’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE LESSER OF: 

  • THE TOTAL AMOUNT PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR 

  • USD $1,000 

These limitations apply to all claims, whether based in contract, tort, statute, or otherwise. 

 

13. Indemnification 

Customer agrees to defend, indemnify, and hold harmless Pipsqueak, BTSG, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: 

  • Unauthorized, unlawful, or disputed network scanning or monitoring 

  • Customer’s or MSP’s breach of these Terms, the Privacy Policy, or the DPA 

  • Customer’s representations, reports, or services provided to third parties 

  • Alleged violations of privacy, surveillance, computer misuse, or cybersecurity laws 

Pipsqueak reserves the right to assume exclusive defense and control of any matter subject to indemnification. 

 

14. Termination 

Pipsqueak may immediately suspend or terminate access to the Services, without liability or refund, if: - Customer breaches these Terms - Customer fails to pay applicable fees - Pipsqueak reasonably believes the Services are being used unlawfully or in a manner that creates legal or security risk.

 

Upon termination: - All licenses granted under these Terms immediately terminate - Customer must cease all use of the Services - Pipsqueak may disable Cloud Services and related access.

Sections relating to ownership, disclaimers, limitation of liability, indemnification, and governing law shall survive termination. 

 

15. Governing Law 

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. 

 

16. Changes to These Terms 

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
